This Mutual Confidentiality Agreement (this “Agreement”) is made by and between NAI Platform, LLC, (Company) having an address at 14 Corporate Woods Boulevard, Albany, NY 12211, on its own behalf and that of (The Buyer) for the purpose of preventing unauthorized disclosure of certain confidential and proprietary information, whether provided in writing or orally by either party,  which may be disclosed to the other party in connection with discussions between the parties regarding a proposed business relationship or transaction (“Project”).  In consideration of Company and Seller furnishing each other with such information and in furtherance of our discussions relating to the Project, it is agreed, effective as of  (the “Effective Date”), and intending to be legally bound, that:

1. The Buyer may use the confidential information for the purposes of evaluating the property or business, and to advise their stakeholders in matters pertaining to a possible Purchase and Sale contract.
2. As a condition of this Agreement, it is agreed that neither Company nor Buyer (or their respective Representatives) without the prior written consent of the other will disclose to any person (other than to their respective Representatives, the fact that discussions or negotiations are taking place concerning the Project or any other possible transaction with each other.  Any media releases or public announcements or disclosures by either Company or Seller relating to this Agreement or the Project shall be coordinated with and approved in writing by the other.  
3. The term of this Agreement shall continue for a period of one (1) year from the date of execution or for as long as the parties are engaged in dialogue, discussion, or negotiations for the Project, whichever is longer. However, the obligation of the parties not to disclose and to only use the Confidential Information for the limited purposes for which it was provided, shall survive the termination or expiration of this Agreement.
4. This Agreement may be executed simultaneously in any number of counterparts and may be executed by facsimile.  Each such counterpart shall be deemed to be an original instrument, but all such counterparts together shall constitute one agreement.
5. The parties, by signing below, agree to be bound by the terms of this Agreement.
